These Account Terms and Conditions with Theodore Alexander, acting for itself and for its affiliated companies and appointed distributors, apply to any furniture dealer ("Dealer") who chooses to open an Account on the Theodore Alexander Website (the "Website"). An active account is required to make purchases from the Website.

1.    Sales through the website

1. These Terms and Conditions shall apply to all contracts for the sale of any items purchased hereunder ("Goods") by Theodore Alexander to the Dealer to the exclusion of all other terms and conditions including any terms or conditions that the Dealer may purport to apply under any purchase order, confirmation of order or similar document.
2. All orders for Goods shall be deemed to be an offer by the Dealer to purchase Goods pursuant to these Terms and Conditions and shall only be accepted by means of Theodore Alexander's acknowledgement and confirmation.
3. Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Dealer's acceptance of these Terms and Conditions.
4. Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by Theodore Alexander.
5. Despite our best efforts, a small number of the items in our catalog may be mispriced. If an item's correct price is higher than our stated price, we will, at our discretion, either contact the Dealer for instructions before shipping or cancel the Dealer's order and notify the Dealer of such cancellation.

2.    The Goods

1. The quantity and description of the Goods shall be as set out in the Dealer's order for goods as acknowledged and confirmed by Theodore Alexander (the "Dealer's Purchase Order").
2. The Goods shall be required only to conform to the specification in the Dealer's Purchase Order. Theodore Alexander attempts to be as accurate as possible. However, Theodore Alexander does not warrant that product descriptions or other content of this site is accurate, current, complete or without error.
3. Photographs are for illustrative purposes only and may not exactly match the product itself.

3.    Shipment/Delivery of the Goods

1. Once the Dealer has placed an order, the Dealer will receive an acknowledgment that the goods have been reserved and receive an order confirmation within 48 hours.
2. Unless otherwise agreed, shipment of the Goods shall take place at the address specified in the Dealer's Purchase Order and the Dealer shall be deemed to have accepted the Goods upon their delivery. The Dealer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.
3. If Theodore Alexander is unable to ship the Goods for reasons beyond its control, then Theodore Alexander shall be entitled to place the Goods in storage until such times as delivery may be affected and the Dealer shall be liable for any expense associated with such storage.
4. The Dealer must notify Theodore Alexander of the damage within 24 hours of delivery to be eligible for any replacement of goods.
5. All items purchased from Theodore Alexander subject to the Dealer's current shipment terms as agreed with Theodore Alexander. The risk of loss and title for such items pass to the Dealer upon delivery to the carrier.
6. The Dealer must agree to the delivery terms at checkout. If the Dealer does not agree to the delivery terms we will not accept the Dealer's order.
7. Title to the Goods shall not pass to the Dealer until Theodore Alexander has been paid in full for the Goods.

4.    Limitation of Liability

1. In any event except those specifically described below the remedies of the Dealer against Theodore Alexander shall be limited by the relevant provisions in the Terms of Use and to damages which shall in no circumstances exceed the Price of the Goods.
2. Nothing contained in these Terms and Conditions shall be construed so as to limit or exclude the liability of Theodore Alexander for death or personal injury as a result of Theodore Alexander's negligence or that of its employees or agents.
3. Nothing contained in these Terms and Conditions shall be construed so as to limit or exclude the liability of Theodore Alexander for breach of the warranty as to title and quiet possession implied by the Sale of Goods Act 1979 where such Act applies to the Contract.

5.    Termination

Theodore Alexander may terminate this agreement at any time with no notice for any reason or for no reason. The Dealer may terminate this Agreement at any time upon ten days written notice, but any such termination will not relieve Dealer's responsibility for any payments due to Theodore Alexander.

6.    Force Majeure

Neither party shall be liable in damages or have the right to terminate an order for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to Acts of God, wars, insurrections, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply and/or any other cause beyond the reasonable control of the party whose performance is affected and the party shall be entitled to a reasonable extension of its obligations.

7.    Contract Construction

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid illegal or unenforceable provision eliminated. These Terms and Conditions must be read in conjunction with and supplemented by the Terms of Use for the Theodore Alexander Website.
